Welcome to UAE Euro Gateway™, operated by Maison Jeanjean FZE LLC (License No. 262311466888), a company duly incorporated and licensed under the laws of the United Arab Emirates. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "User," or "you") and UAE Euro Gateway™ ("Company," "we," "us," or "our").

By accessing our website (uaeeurogateway.pro), engaging our services, or entering into any business relationship with us, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree with any provision of these Terms, you must immediately discontinue use of our services and terminate any ongoing business relationship.

These Terms apply to all services provided by UAE Euro Gateway™, including but not limited to: company formation services, visa processing, talent recruitment, developer certification programs, administrative solutions, and any related consulting services.

The Company operates under UAE federal and emirate-specific regulations, including but not limited to the UAE Commercial Companies Law, Free Zone regulations, and applicable international business standards.

3. Service Definitions and Scope
3.1 Company Formation Services

Complete business setup solutions including entity selection, documentation preparation, license procurement, legal compliance, and post-incorporation support for UAE mainland, free zone, and offshore jurisdictions.

3.2 Visa Processing Services

Comprehensive visa and immigration support including residence visas, investor visas, employment visas, family visas, and related documentation services for UAE entry and residency.

3.3 Talent Recruitment and Certification

Global developer talent sourcing, screening, certification, placement services, and ongoing talent management solutions for international clients seeking qualified technical professionals.

3.4 Administrative and Consulting Services

Business optimization consulting, compliance management, operational support, strategic advisory services, and ongoing administrative solutions for established businesses.

4. Client Obligations and Responsibilities
4.1 Documentation Requirements

Clients must provide complete, accurate, and current documentation including:

  • Valid passport copies and identification documents

  • Proof of address documentation

  • Financial statements and bank references where required

  • Educational certificates and professional qualifications

  • Any additional documents requested for regulatory compliance

4.2 Information Accuracy

Clients warrant that all information provided is truthful, complete, and accurate. Any false, misleading, or incomplete information may result in immediate service termination without refund and potential legal action.

4.3 Compliance Responsibilities

Clients must comply with all applicable laws, regulations, and requirements in their jurisdiction and the UAE. This includes but is not limited to tax obligations, regulatory filings, licensing requirements, and ongoing compliance maintenance.

4.4 Communication and Cooperation

Clients must maintain responsive communication, attend required meetings, provide timely feedback, and cooperate fully with all service delivery processes. Failure to respond within specified timeframes may result in service delays or termination.

5. Service Delivery and Performance Standards
5.1 Service Timelines

While we strive to meet projected timelines, service delivery periods are estimates based on typical processing times. Actual timelines may vary due to factors including but not limited to:

  • Government processing delays

  • Regulatory changes

  • Client response times

  • Document completeness and accuracy

  • Third-party dependencies

5.2 Performance Standards

We commit to delivering services with professional competence and industry best practices. However, we cannot guarantee specific outcomes, regulatory approvals, or third-party decisions beyond our direct control.

5.3 Force Majeure

Service delivery may be suspended or delayed due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, regulatory changes, pandemics, cyber attacks, or infrastructure failures.

6. Payment Terms and Financial Obligations
6.1 Fee Structure

All service fees are clearly communicated in advance and may include:

  • Professional service fees

  • Government fees and charges

  • Third-party processing fees

  • Administrative and handling charges

  • Ongoing maintenance fees where applicable

6.2 Payment Schedule

Unless otherwise specified, payment terms are:

  • Company formation: 100% payment required upfront due to government fees and processing requirements

  • Talent services: As per specific service agreements

  • Consulting services: As per agreed milestone schedule

  • Certification programs: Full payment upon enrollment

6.3 Currency and Methods

Payments are accepted in USD, EUR, AED, or other agreed currencies through bank transfer, credit card, cryptocurrency, or other approved payment methods. Exchange rate fluctuations are at client risk.

6.4 Non-Payment Consequences

Non-payment or overdue payments will result in immediate service suspension or termination. All processes will be halted and payments already made will be retained as liquidated damages. We do not charge interest on overdue amounts but reserve the right to pursue legal action for recovery of outstanding fees.

7. Refund Policy and Limitations
7.1 No Refund Policy

IMPORTANT: UAE Euro Gateway™ operates a strict no-refund policy for all services rendered. Once payment is received and services commence, no refunds will be provided under any circumstances, except as specifically outlined in Section 7.2.

7.2 Single Exception - Company Formation License Failure

The sole exception to our no-refund policy applies exclusively to company formation services where:

  • We fail to secure the requested business license

  • The failure is directly attributable to our error or negligence

  • All required client documentation was provided accurately and timely

  • The client has fulfilled all contractual obligations

7.3 Refund Exclusions

No refunds will be provided in the following circumstances:

  • Client fails to provide required documentation

  • Client provides inaccurate, false, or incomplete information

  • Client provides invalid contact information or becomes unresponsive

  • Regulatory or government policy changes affect license issuance

  • Client changes service requirements after commencement

  • Third-party rejections or delays beyond our control

  • Market condition changes affecting business viability

  • Client voluntary withdrawal from the process

7.4 Partial Service Completion

No partial refunds are available for partially completed services, work in progress, or services where preliminary work has been performed.

8. Intellectual Property Rights
8.1 Company IP

All methodologies, processes, templates, documentation, software, and proprietary information developed or used by UAE Euro Gateway™ remain our exclusive intellectual property.

8.2 Client IP

Client retains all rights to their proprietary information, business concepts, and intellectual property shared during service delivery.

8.3 Work Product

Upon full payment, clients receive appropriate usage rights to deliverables created specifically for their engagement, subject to any third-party licensing requirements.

9. Confidentiality and Data Protection
9.1 Mutual Confidentiality

Both parties agree to maintain strict confidentiality regarding sensitive information shared during the business relationship.

9.2 Data Protection Compliance

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including GDPR for EU clients and UAE Data Protection Law.

9.3 Information Security

We maintain industry-standard security measures to protect client information, including encryption, access controls, and secure data storage systems.

10. Limitation of Liability
10.1 Service Limitations

Our liability is strictly limited to the direct fees paid for the specific service giving rise to any claim. We shall not be liable for:

  • Indirect, consequential, or punitive damages

  • Loss of profits, revenue, or business opportunities

  • Regulatory decisions or government actions

  • Third-party service provider failures

  • Market condition changes or business environment shifts

10.2 Maximum Liability Cap

In no event shall our total liability exceed the amount of fees actually paid by the client for the specific service giving rise to the claim.

10.3 Professional Indemnity

While we maintain appropriate professional indemnity insurance, clients acknowledge that certain risks are inherent in international business services and regulatory processes.

11. Termination and Consequences
11.1 Termination Rights

Either party may terminate services with 30 days written notice, subject to completion of ongoing commitments and settlement of all outstanding obligations.

11.2 Immediate Termination

We reserve the right to immediately terminate services for:

  • Material breach of these Terms

  • Non-payment of fees

  • Provision of false or misleading information

  • Illegal or unethical conduct

  • Failure to cooperate with service delivery

11.3 Post-Termination Obligations

Upon termination:

  • All outstanding fees become immediately due

  • Confidentiality obligations continue indefinitely

  • Work product delivery depends on payment status

  • No refunds will be provided regardless of termination cause

12. Regulatory Compliance and Legal Framework
12.1 UAE Regulatory Environment

Services are delivered in compliance with UAE federal laws, emirate-specific regulations, and free zone requirements. Regulatory changes may affect service delivery and costs.

12.2 International Compliance

We assist clients with UAE compliance requirements but clients remain responsible for compliance in their home jurisdictions and any other relevant jurisdictions.

12.3 Anti-Money Laundering (AML)

We maintain strict AML procedures and reserve the right to conduct due diligence, request additional documentation, and decline services based on compliance concerns.

13. Technology Services and Developer Placement
13.1 Developer Screening and Certification

Our proprietary 3-stage evaluation process includes technical assessment, English proficiency testing, and cultural fit evaluation. Only approximately 5% of applicants achieve certification.

13.2 Certification Guarantees

We guarantee that all candidates who complete our proprietary 3-stage evaluation process will receive a detailed certificate with precise assessment of their skill level. Certification outcomes depend on individual performance and market standards. Candidates who do not pass the initial evaluation may retake the assessment up to two additional times within the same calendar year. Job placement depends on market demand and client requirements - we do not guarantee employment placement but provide access to our network of potential employers.

13.3 Ongoing Support

We provide ongoing administrative support, payroll management, and project continuity services for placed developers, ensuring seamless integration with client operations.

14. Communication and Official Notices
14.1 Official Communication Channels

All formal notices must be sent to info@uaeeurogateway.com. Verbal communications are not considered official unless subsequently confirmed in writing.

14.2 Response Timeframes

We commit to responding to client communications within 48 hours during UAE business days. Urgent matters will be prioritized accordingly.

14.3 Language Requirements

All official communications and documentation will be conducted in English, Arabic, French or German. Clients requiring translation services must arrange these independently.

15. Dispute Resolution and Legal Procedures
15.1 Negotiation Requirement

Parties must attempt good faith negotiation for 30 days before pursuing formal dispute resolution procedures.

15.2 Court Jurisdiction

All disputes that cannot be resolved through negotiation shall be submitted to the competent courts of Ajman, United Arab Emirates, which shall have exclusive jurisdiction over any legal proceedings.

15.3 Governing Law

These Terms are governed exclusively by UAE federal law. All legal proceedings, interpretations, and enforcement shall be conducted in accordance with UAE federal legislation and regulations.

15.4 Legal Costs

The prevailing party in any dispute resolution process shall be entitled to recover reasonable legal costs and expenses.

16. Force Majeure and Business Continuity
16.1 Force Majeure Events

Neither party shall be liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, government actions, pandemics, cyber attacks, or infrastructure failures.

16.2 Mitigation Efforts

Both parties agree to use reasonable efforts to mitigate the effects of force majeure events and resume normal operations as quickly as possible.

16.3 Extended Force Majeure

If force majeure conditions persist for more than 90 days, either party may terminate the agreement with written notice.

17. Modifications and Updates
17.1 Terms Updates

We reserve the right to modify these Terms at any time. Material changes will be communicated 30 days in advance via email and website notification.

17.2 Continued Service

Continued use of our services after Terms modifications constitutes acceptance of the updated Terms.

17.3 Version Control

All previous versions of these Terms are maintained for reference and audit purposes.

18. Severability and Enforceability
18.1 Severability Clause

If any provision of these Terms is deemed invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

18.2 Waiver Provisions

No waiver of any term or condition shall be deemed a continuing waiver, and failure to enforce any provision does not constitute a waiver of future enforcement.

18.3 Entire Agreement

These Terms, together with our Privacy Policy and specific service agreements, constitute the entire agreement between the parties and supersede all prior communications and agreements.
